Website, Services, Demo & Intellectual Property Terms & Conditions
Terms governing JSL websites, demonstration environments, professional services, intellectual property and related technology.
Effective Date: 5 October 2026
Last Updated: 5 October 2026
1. Agreement to These Terms
These Terms and Conditions (“Terms”) govern access to and use of websites, content, demonstration environments, digital services and related services operated or provided by JSL Integrated Solutions Ltd (“JSL”, “we”, “us” or “our”). Where these Terms are presented for acceptance, you should not proceed if you do not agree to them.
2. Legal Capacity and Authority
A person accepting these Terms on behalf of a company or other organization represents that the person has authority to bind that organization to the extent permitted by law.
3. Additional Agreements
Specific services may also be governed by quotations, proposals, Statements of Work, master-service agreements, support agreements, confidentiality agreements, licensing terms, data-processing terms or other written arrangements.
4. Order of Precedence
Unless expressly agreed otherwise, the intended order of precedence for a particular engagement is: (1) signed master or service agreement; (2) signed Statement of Work; (3) accepted quotation or proposal; (4) specific service or licence terms; and (5) these Terms.
5. Electronic Acceptance
Where permitted by applicable law, acceptance may occur by electronic signature, required checkbox, electronic approval, email, online quotation acceptance or another electronic record evidencing agreement. JSL may retain records of the Terms version accepted, acceptance date and time, and the associated request or transaction.
6. Limited Website Licence
JSL grants users a limited, revocable, non-exclusive and non-transferable permission to access its public website for legitimate informational and commercial purposes. This permission does not transfer ownership of JSL intellectual property.
7. Acceptable Use
Users must not use JSL websites or systems for unlawful, fraudulent, abusive or deceptive purposes; attempt unauthorized access; bypass authentication or authorization; interfere with servers or networks; introduce malware; conduct denial-of-service attacks; harvest personal information; impersonate another person; or use automated tools in a manner that unreasonably burdens JSL infrastructure.
8. Scraping and Automated Extraction
Except where authorized by JSL or permitted by applicable law, users may not systematically scrape, crawl, harvest, copy or extract substantial portions of restricted JSL content, demo configurations, proprietary documentation, workflow information or technical material.
9. AI Training, Model Extraction and Machine Use
Restricted or proprietary JSL content, documentation, source code, prompts, workflows, demonstrations, methodologies, configuration data, confidential information or other protected materials may not be systematically extracted, reproduced or used for training, fine-tuning, benchmarking, distillation or development of a competing artificial-intelligence or machine-learning system without JSL's prior written permission.
10. JSL Demo Centre
JSL may provide approved prospective clients with temporary access to demonstration environments solely for legitimate evaluation of potential JSL solutions. A demonstration is not a production environment and does not guarantee that every demonstrated capability will be included in a final implementation.
11. Demo Approval and Duration
Demo requests are subject to JSL approval. Unless otherwise agreed in writing, approved prospect-specific demo environments may remain available for up to 30 days. JSL may extend, suspend, reset, restrict or terminate access where reasonably necessary.
12. Demo Credentials
Demo credentials are confidential and may be used only by authorized persons. Users must not publish, sell, transfer, sublicense, publicly disclose or share credentials outside the authorized organization.
13. Prohibited Demo Activities
Without prior written permission, users must not clone a JSL demo database; export substantial portions of a proprietary configuration; extract proprietary workflows; reproduce the demo architecture; conduct automated scraping, load testing, penetration testing or privilege escalation; reverse engineer JSL custom functionality; decompile proprietary components; bypass technical restrictions; or use the environment to reproduce a competing proprietary implementation.
14. No Production or Sensitive Data in Demos
Users must not upload live confidential production data, credentials, payment-card information, health information, sensitive personal information or other high-risk data into a demo environment unless specifically authorized by JSL in writing.
15. JSL Intellectual Property
Except where a written agreement expressly states otherwise, JSL retains all right, title and interest in its pre-existing and independently developed intellectual property, including website content, branding, designs, documentation, proposals, templates, training material, source code, modules, extensions, scripts, APIs, integration logic, automation logic, configurations, data models, workflow designs, reports, dashboards, deployment tooling, infrastructure designs, security configurations, prompt libraries, AI orchestration methods, demo architecture, provisioning methods, algorithms, processes, know-how and trade secrets.
16. Copyright
Original JSL works may be protected by copyright and related intellectual-property law. Except where authorized by JSL, applicable licence terms or law, users may not reproduce, distribute, publish, sell, sublicense, modify, adapt, translate, publicly display or commercially exploit protected JSL material.
17. Trade Marks, Trade Names and Branding
JSL names, logos, service identifiers and branding may constitute trade marks, trade names or proprietary branding. No licence to use JSL branding is granted except where expressly authorized. Users must not create a false impression of sponsorship, affiliation, approval, partnership or endorsement.
18. Patents and Technology Rights
Nothing in these Terms grants a right under a JSL patent, patent application, registered design or other proprietary technology right except where expressly stated in a written licence or agreement.
19. Proprietary Methodologies and Frameworks
JSL assessment frameworks, implementation sequences, deployment methods, project templates, automation architectures, provisioning workflows, integration patterns, design systems, technical standards, sales methodologies and costing models may constitute valuable proprietary commercial information. Disclosure during a consultation, demonstration or project does not place such material in the public domain.
20. Trade Secrets and Confidential Know-How
Information that derives commercial value from not being generally known and is reasonably treated by JSL as confidential may constitute proprietary know-how, confidential information or a trade secret. Unauthorized acquisition, disclosure or use is prohibited to the extent permitted by law.
21. Reverse Engineering
To the maximum extent permitted by applicable law, users must not reverse engineer, decompile, disassemble, decode or otherwise attempt to derive proprietary source code, architecture, algorithms, database designs, security mechanisms, configurations or automation logic from JSL systems or deliverables where such activity has not been expressly authorized.
22. Competitive Replication
Access to JSL demonstrations, documentation or proprietary information does not authorize reproduction of JSL proprietary methods, configuration or technology for the purpose of establishing or supporting a substantially competing service. This clause does not prohibit lawful independent development that does not infringe JSL rights or breach confidentiality obligations.
23. Screenshots, Recordings and Publication
Users may not commercially publish or distribute screenshots, recordings or walkthroughs revealing non-public JSL architecture, restricted pricing, credentials, proprietary configurations or confidential technical documentation without permission.
24. Client-Owned Materials
Clients retain ownership of intellectual property they owned before supplying it to JSL. A client grants JSL the limited rights reasonably necessary to evaluate requirements, perform contracted services, provide support and fulfil applicable legal or administrative obligations. The client represents that it has authority to supply those materials.
25. JSL Background Intellectual Property
Technology, libraries, templates, processes, code, configurations, documentation and know-how owned or developed by JSL independently of a specific client engagement remain JSL's Background Intellectual Property. Inclusion of Background IP in a deliverable does not transfer its ownership unless expressly agreed in writing.
26. Client Deliverables
Ownership and licensing of bespoke deliverables will be determined by the applicable quotation, Statement of Work or other written agreement. Payment for professional services does not by itself transfer every underlying JSL intellectual-property right.
27. Intellectual-Property Assignment
Any assignment of JSL-owned intellectual property must be express, identify the relevant rights and be authorized in writing. No implied assignment arises merely from payment, access, delivery or use.
28. Third-Party Intellectual Property
JSL solutions may incorporate Odoo, open-source components, commercial software, APIs, cloud platforms, AI services and other third-party technology. Those components remain subject to their applicable licences and third-party terms. JSL does not claim ownership of third-party intellectual property.
29. Open-Source Software
Open-source software remains governed by its applicable licence. Nothing in these Terms is intended to remove rights granted directly under a valid open-source licence. JSL proprietary code, configuration, documentation and services surrounding an open-source platform remain separately protectable where applicable.
30. Feedback
A person voluntarily providing suggestions or feedback concerning JSL services grants JSL a non-exclusive, perpetual, worldwide, royalty-free right to use that feedback, provided this does not transfer ownership of the person's pre-existing intellectual property.
31. Confidential Information
Confidential Information may include source code, credentials, security information, non-public pricing, business plans, client information, methodologies, technical designs, proposals, project documents and trade secrets. Recipients must use reasonable safeguards and use Confidential Information only for authorized purposes.
32. Confidentiality Exceptions
Confidentiality obligations generally do not apply to information that becomes public without breach; was lawfully known before disclosure; was independently developed without use of the confidential information; was lawfully obtained from another source; or must lawfully be disclosed.
33. Privacy
Use of JSL websites and services is also subject to JSL's Privacy & Data Protection Policy.
34. Service Scope
JSL is responsible for professional services expressly included in an accepted quotation, proposal, Statement of Work or other applicable agreement. Work outside agreed scope may require change control, additional fees, additional resources or revised delivery dates.
35. Client Responsibilities
Clients are responsible for timely decisions, accurate requirements, appropriate access, required third-party licences, authorized credentials, relevant client personnel, reviews, approvals, accurate data and other dependencies under their control. Client-caused delays may affect delivery schedules and costs.
36. Change Control
Material changes to scope, assumptions, integrations, volume, architecture or requirements may affect pricing, resources and schedule and should be documented through appropriate change-control procedures.
37. Artificial-Intelligence-Enabled Services
JSL services may incorporate artificial intelligence supplied by JSL or third parties. AI-generated material may contain errors, omissions or inaccuracies and may require human or professional review before reliance, particularly for important legal, financial, regulatory, safety, engineering or business decisions.
38. AI Security and Proprietary Information
Users must not deliberately use JSL AI-enabled systems to extract restricted system instructions, proprietary prompts, confidential information, security controls, orchestration logic, hidden configuration or information belonging to another person or organization.
39. Fees and Third-Party Charges
Fees for paid services are governed by the relevant commercial documents. Third-party licence, cloud, hosting, subscription, payment-processing, tax or transaction costs may be separately payable where stated or where incurred with the client's authorization.
40. Payment
Clients must pay invoices in accordance with agreed payment terms. Subject to applicable law and the governing contract, JSL may suspend non-critical paid services for material non-payment after appropriate notice.
41. Website Information
Public website information is provided for general informational purposes. JSL seeks to maintain accurate content but does not warrant that every public statement will always be complete, current or free from error.
42. Demo Disclaimer
Demonstrations are evaluation environments. They are not warranties that the final client implementation will be identical, that every feature will be available, that every third-party integration will be technically feasible or that particular performance outcomes will be achieved.
43. Professional Advice Disclaimer
General website, AI or demonstration content does not constitute individualized legal, accounting, taxation, medical, engineering, regulatory or other licensed professional advice unless JSL has expressly contracted to provide such advice through appropriately qualified persons.
44. Non-Excludable Rights
Nothing in these Terms excludes, restricts or modifies a liability, remedy or statutory right that cannot lawfully be excluded, restricted or modified.
45. Exclusion of Certain Indirect Loss
To the maximum extent permitted by law, JSL will not be liable for indirect, incidental, special or consequential loss arising solely from free website or demo access, including loss of anticipated profit, opportunity or goodwill, except where such exclusion is prohibited by applicable law.
46. Liability for Paid Services
Liability concerning paid services is primarily governed by the applicable service agreement, quotation or Statement of Work. Where no specific limitation has been agreed, and to the maximum extent permitted by law, JSL's aggregate liability arising from the specific affected paid service shall not exceed the fees actually paid to JSL for that affected service during the six months immediately preceding the event giving rise to the claim, or, where the affected engagement has existed for less than six months, the fees actually paid for that affected engagement. This limitation does not apply where applicable law prohibits it.
47. User and Client Indemnity
To the extent permitted by applicable law, a user or client may be responsible for losses, claims, reasonable costs or liabilities arising from that party's unlawful conduct, deliberate security breach, intellectual-property infringement, unauthorized use of JSL systems, malicious code, fraud or material breach of confidentiality obligations.
48. Suspension
JSL may suspend access where reasonably necessary because of security concerns, suspected misuse, compromised credentials, legal requirements, material breach, abnormal resource consumption or other legitimate operational risk.
49. Termination of Demo Access
Demo access may end when the approved evaluation period expires, where misuse occurs, where security is compromised, where a prospect no longer requires access or where JSL retires or resets the environment.
50. Survival
Provisions whose nature requires continued effect survive termination, including intellectual-property rights, confidentiality, payment obligations, limitation-of-liability provisions, indemnities and dispute provisions to the extent legally enforceable.
51. Unauthorized Access and Security Abuse
Unauthorized access to or interference with JSL systems is prohibited. JSL may investigate suspected misuse, preserve relevant logs, restrict access, block abusive traffic and report suspected unlawful activity to appropriate parties or authorities where reasonably necessary.
52. Security Research
Penetration testing, vulnerability scanning, security research, load testing or similar technical testing against JSL infrastructure requires prior written authorization defining the permitted targets, methods and time period.
53. Third-Party Services
Third-party platforms, software, cloud infrastructure, hosting, APIs and subscriptions may have separate terms, licences, privacy policies and service commitments. JSL is not responsible for third-party changes or failures outside JSL's reasonable control, subject to applicable law and any express contractual commitment by JSL.
54. Statutory and Consumer Rights
Nothing in these Terms is intended to waive, exclude or misrepresent mandatory statutory or consumer rights that cannot lawfully be waived. Where applicable law grants mandatory rights, those rights prevail over an inconsistent provision of these Terms.
55. Good-Faith Dispute Resolution
Where reasonably practicable, parties to a commercial dispute should first attempt in good faith to resolve the matter through direct discussion. Nothing prevents urgent action where necessary to protect intellectual property, confidential information, cybersecurity, property or another right requiring immediate relief.
56. Intellectual-Property Enforcement
Unauthorized use or disclosure of JSL intellectual property, trade secrets or confidential information may cause harm for which monetary damages alone may be insufficient. Subject to applicable law, JSL reserves the right to seek injunctions, damages, an account of profits, delivery-up and other legal or equitable remedies.
57. Governing Law
These Terms are governed by the laws of the Republic of Trinidad and Tobago unless a specific written agreement expressly provides otherwise.
58. Jurisdiction
Subject to any binding dispute-resolution procedure contained in a separate agreement, the courts of Trinidad and Tobago shall have jurisdiction over disputes arising from these Terms.
59. Force Majeure
Subject to applicable law and specific contractual commitments, JSL will not be responsible for delay or failure caused by circumstances beyond its reasonable control, which may include major telecommunications or utility failures, natural disasters, government action, war, civil disturbance, labour disruption, widespread cyber incidents or failure of critical third-party infrastructure.
60. Severability
If a provision is held invalid or unenforceable, it shall be interpreted or severed only to the minimum extent necessary while leaving the remaining provisions effective where legally possible.
61. No Waiver
Failure by JSL to enforce a right or provision immediately does not automatically waive that right or prevent later enforcement.
62. Assignment
Restricted JSL access rights may not be transferred without consent where the applicable agreement requires consent. JSL may transfer contractual rights in connection with a legitimate restructuring, merger, sale or business transfer subject to applicable law and contractual obligations.
63. Independent Parties
Nothing in these Terms creates a partnership, joint venture, employment or agency relationship unless expressly agreed in writing.
64. Entire Agreement
For a professional engagement, these Terms must be read together with the applicable quotation, Statement of Work, service agreement and other incorporated contractual documents. Those documents collectively form the agreement to the extent applicable.
65. Amendments to These Terms
JSL may update these public Terms to reflect changes in law, technology, security, risk or business practices. Material changes affecting an existing contracted engagement will be handled in accordance with the applicable agreement and law.
